These Terms govern your use of the Chabeland platform, which is operated by Chabeland LLC, a limited liability company organized under the laws of the State of Delaware, United States ("Chabeland," "we," or "us").

1. The Marketplace

Chabeland is a marketplace connecting customers who need parts manufactured with independent suppliers who manufacture them, currently serving the US and Turkey. Chabeland is not the manufacturer — each order is a direct agreement between the customer and the supplier who accepted it.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use Chabeland. If you register on behalf of a company, you confirm you have the authority to bind that company to these terms.

3. Design Files & Intellectual Property

You retain full ownership of any drawing, CAD file, or specification you upload. By submitting a file, you grant the suppliers who can view it (per the visibility rules in our Privacy Policy) a limited license to use it solely to prepare a quote and, if selected, to manufacture your order. Suppliers may not use, reproduce, disclose, or manufacture your design for any purpose beyond the order you accepted their quote for.

4. Payments & Escrow

Payment is collected in full when a customer accepts a quote, in USD (via Stripe) or TRY (via iyzico) depending on the country you're connecting from. Funds are held in escrow and released to the supplier once the order is confirmed delivered. Chabeland retains a 5% platform fee from each completed order.

5. Returns & Refunds

Series/volume production orders follow standard return policy. Sample/prototype orders follow the refund percentage the supplier specified on their quote at the time it was accepted.

5a. Delivery Confirmation

All shipments require a signature at the delivery address. The carrier's delivery confirmation record (signature, timestamp, and location, as reported by the carrier) is treated as the authoritative record of delivery. A claim that an order was not received cannot be accepted on its own if the carrier's record confirms delivery to the shipping address provided.

6. Account Responsibilities

Suppliers are responsible for the accuracy of their quotes, lead times, and capabilities. Customers are responsible for the accuracy of their drawings and specifications.

7. Account Suspension & Termination

Chabeland may suspend or terminate an account that violates these terms, provides fraudulent information, or misuses the platform (including attempting to circumvent the anonymity between customers and suppliers). Funds already in escrow for a confirmed order are not affected by a suspension unrelated to that specific order.

8. Limitation of Liability

To the maximum extent permitted by law, Chabeland's total liability to you for any claim arising from your use of the platform is limited to the greater of (a) the platform fees you paid to Chabeland in the 12 months before the claim arose, or (b) $100. Chabeland is not liable for indirect, incidental, consequential, or punitive damages, or for the acts or omissions of a customer or supplier you transact with — Chabeland is a marketplace, not a party to the manufacturing agreement between you and the other party. Liability caps are not automatically enforceable in every jurisdiction; Turkish law in particular restricts liability waivers for gross negligence or willful misconduct.

9. Indemnification

You agree to indemnify and hold Chabeland harmless from any claim, loss, or expense (including reasonable attorney's fees) arising from your breach of these Terms, your use of the platform, or the design files, specifications, or products you upload or manufacture through Chabeland.

10. Governing Law & Dispute Resolution

Chabeland LLC is organized under the laws of the State of Delaware, United States, and these Terms are governed by Delaware law, without regard to its conflict-of-laws principles. Any dispute arising from your use of the Chabeland platform (as distinct from a dispute between a customer and a supplier over a specific order, which is between those two parties) will first be addressed through good-faith negotiation and, if unresolved, through binding arbitration administered by the American Arbitration Association, seated in Delaware, rather than in court — except that either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court to prevent misuse of the platform. If you are a consumer connecting from Turkey, this section does not limit any non-waivable protection Turkey's Consumer Protection Law (Law No. 6502) provides you, which continues to apply notwithstanding this choice of law.
